1. Account Registration & Access

1.1 Eligibility

• You must be at least 18 years old
• You must have authority to bind your Organization to these Terms
• You must provide accurate and complete information

1.2 Account Security

• You are responsible for maintaining account security
• You must not share credentials
• Notify us immediately of unauthorized access
• We are not liable for losses from unauthorized access

2. Acceptable Use Policy

2.1 Permitted Uses

• Maritime business operations (ship sales, chartering, brokerage)
• Email and document processing for business intelligence
• Contact and deal management
• Communication automation within compliance boundaries

2.2 Prohibited Uses

You must NOT:

• Violate laws or regulations (sanctions, export controls, GDPR)
• Send spam, unsolicited marketing, or bulk emails
• Harass, threaten, or abuse others
• Attempt to gain unauthorized access to systems
• Reverse engineer, decompile, or extract source code
• Use automated tools to scrape or extract data
• Upload malware, viruses, or malicious code

3. Data Processing & Privacy

3.1 Data Ownership

• Your Content: You own all data you upload or create
• Extracted Data: You own data extracted from your emails/documents
• Platform Data: We own platform code, designs, and algorithms

3.2 Contact Data Responsibility

When you use HelmOS to process emails and contacts:

• You are the Data Controller for third-party contact data
• We are the Data Processor acting on your instructions
• You must comply with GDPR/data protection laws
• You must have lawful basis for processing third-party data

4. Multi-Tenant Architecture

4.1 Organization Isolation

• Each Organization operates in a completely isolated environment
• Your data is never shared with other Organizations
• Database-level row-level security (RLS) enforces isolation

4.2 No Cross-Tenant Data Sharing

• Contacts are NOT matched or linked across Organizations
• If a person interacts with multiple Organizations, each maintains separate records
• No aggregate insights or benchmarking across Organizations

5. Limitation of Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR USE OF THE PLATFORM SHALL NOT EXCEED:

• Paid Accounts: The amount you paid in the 12 months before the claim
• Free Accounts: $100 USD

WE ARE NOT LIABLE FOR:

• INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
• DATA LOSS (beyond our backup obligations)
• REPUTATIONAL HARM

6. Termination

6.1 Termination by You

• You can delete your account anytime via settings
• Data will be deleted within 90 days
• No refunds for prepaid periods

6.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms or Acceptable Use Policy
• Your account is inactive for more than 12 months
• You fail to pay (after 30-day grace period)
• We are required by law or court order
